1. Definitions and acceptance
1.1 These terms of service and acceptable use policy (the "Terms") govern access to and use of the EvaCore platform available at evacore.io and app.evacore.io (the "Platform"), including the AI sales assistant Eva ("Eva"), by every business that creates an account or subscribes to a self-serve plan (the "Customer") and by every individual who uses the Platform on the Customer's behalf (each a "User").
1.2 In these Terms: "Customer Data" means all data, content, listings, documents, messages and files that the Customer or its Users or its leads and clients put into the Platform or that Eva produces from them; "Customer Personal Data" means the personal data contained in Customer Data; "Channel Provider" means a third party that operates a messaging, social, advertising, payment or portal service that the Customer connects to the Platform; "Sub-processor" means a third party engaged to process Customer Personal Data; "Fees" means the amounts payable for the plan the Customer selects; "Order Form" means the plan, price and billing period the Customer selects at checkout or in a signed order; "Subscription Term" means the billing period the Customer has paid for and each renewal of it; "Business Day" means a day from Sunday to Thursday that is not an official holiday in the Kingdom of Saudi Arabia; "Confidential Information" means the non-public business information of a party that the other party receives in connection with these Terms; "Data Protection Law" means the Saudi Personal Data Protection Law (Royal Decree M/19 of 9/2/1443H, as amended by Royal Decree M/148 of 5/9/1444H), its Implementing Regulation and the Regulation on Personal Data Transfer outside the Kingdom; "SDAIA" means the Saudi Data and Artificial Intelligence Authority; and "Effective Date" means the date on which the Customer accepts these Terms.
1.3 Acceptance. The Customer accepts these Terms by an affirmative act, by ticking the acceptance box and clicking the button to create an account or to subscribe, after the complete Terms have been displayed to it and made available for it to save or print. Use of the Platform alone is not acceptance. Electronic acceptance is valid and has the same effect as a handwritten signature under the Electronic Transactions Law (Royal Decree M/18 of 8/3/1428H). The person who accepts confirms that he or she is authorised to bind the Customer. The Provider keeps an electronic record of the accepted text, the account, the identity of the person who accepted and the date and time of acceptance, and gives the Customer a copy on request.
1.4 These Terms apply to the self-serve plans offered on evacore.io. If the Customer has signed a Master Services Agreement or an Enterprise Order Form, whether with Eva core Inc. or with its authorised reseller in the Kingdom, Rafd Soft Trading Company (One-Person Company), that agreement governs the subscription and these Terms apply only where that agreement refers to them.
1.5 The Platform is offered to businesses only, including real-estate offices, brokers and developers. It is not offered to consumers for personal use, and no User may be under 18 years of age.
2. Contracting entity
2.1 Provider. Self-serve plans are sold and provided by Eva core Inc., a corporation incorporated under the laws of the State of Delaware, United States of America, State of Delaware File Number 10170131, whose principal business address is 166 Geary Street, Suite 1500 #603, San Francisco, California 94108, United States of America (the "Provider"). The Provider develops, operates and hosts the Platform, owns all intellectual property rights in it, and is the seller and the contracting party for every Customer of a self-serve plan, including a Customer in the Kingdom of Saudi Arabia.
2.2 Saudi Customers. A Customer that is established in the Kingdom of Saudi Arabia, holds a Saudi commercial registration or has its billing address in the Kingdom is a "Saudi Customer". Clauses 7.4, 18.1 and 19.1 contain the provisions that apply to Saudi Customers.
2.3 Enterprise subscriptions in the Kingdom. Enterprise subscriptions in the Kingdom are sold under a Master Services Agreement and an Enterprise Order Form by Rafd Soft Trading Company (One-Person Company), the authorised reseller of Eva core Inc. in the Kingdom, and are not governed by these Terms except as clause 1.4 provides. The reseller's exclusivity covers Enterprise and other negotiated or offline sales and does not extend to the self-serve plans in clause 2.1, which Eva core Inc. sells directly online.
2.4 Seller identification. The particulars of the seller required by the E-Commerce Law (Royal Decree M/126 of 7/11/1440H) are stated in Schedule 1. "EvaCore" is the name of the Platform and is not a legal entity.
2.5 Change of Provider. The Provider may transfer these Terms to another company of its group or to the successor to its business by giving the Customer at least 30 days' notice by e-mail. The transfer takes effect only if the transferee assumes in writing all of the Provider's obligations to the Customer, including prepaid service, confidentiality, return and deletion of data, refunds and accrued liabilities, and it does not release the Provider from liabilities accrued before the transfer. A Customer that objects may cancel before the transfer takes effect and receive a pro-rata refund of prepaid Fees for the remaining period.
3. The Platform and Eva
3.1 The Platform is a sales platform for real estate: a shared inbox for WhatsApp and other channels, Eva, lead and deal management, property listings, booking of viewings, reports and related modules, as described on evacore.io when the Customer subscribes.
3.2 AI replies on the Customer's channels. When the Customer switches Eva on for a channel, Eva reads incoming messages and replies to the Customer's leads and clients automatically in the Customer's name, using the projects, prices, policies and instructions the Customer gives it. The Customer chooses the channels on which Eva answers and may pause Eva or take over any conversation at any time.
3.3 AI output acknowledgement. The Customer acknowledges that Eva's replies, summaries, translations and other outputs are generated by artificial-intelligence models, may be inaccurate, incomplete or out of date, and are not legal, financial, mortgage, valuation or other professional advice. The Customer is responsible for supervising Eva's conversations, for the accuracy of the information it gives Eva, and for every commitment made to a lead or client in its name. The Provider does not guarantee the accuracy of any AI output or that Eva will produce any number of leads, bookings or sales.
3.4 Notice to leads. Where the law or a Channel Provider's policy requires, the Customer must tell its leads and clients that they may be communicating with an automated assistant.
3.5 AI providers. Eva's replies are generated by AI providers whose servers are outside the Kingdom. The primary engine sends requests to OpenAI, either directly or through OpenRouter, and Google Gemini is used when the primary engine is unavailable and for summaries and transcription of voice notes. Eva does not send conversation text or context to DeepSeek or to any other AI provider that is not listed in the Privacy Policy. By using Eva the Customer instructs these transfers, which are described in clause 9.6 and in the Privacy Policy at evacore.io/privacy.
3.6 Changes to the Platform. The Provider improves the Platform continuously and may change features. If it removes a feature that is a main part of the Customer's paid plan, it will give at least 30 days' notice by e-mail, and the Customer may cancel and receive a pro-rata refund of prepaid Fees for the remaining period.
3.7 Availability. The Provider aims to keep the Platform available at all times but does not guarantee uninterrupted service on self-serve plans. It will try to give advance notice of planned maintenance.
4. Channels
4.1 WhatsApp, Instagram, TikTok, X, Snapchat, property portals, payment services and other channels are provided by Channel Providers under their own terms, which the Customer accepts directly when it connects its accounts. The Customer's numbers and accounts remain its own.
4.2 The Provider is not responsible for a Channel Provider's availability, pricing, policy decisions or restrictions on the Customer's accounts, and the Customer pays the Channel Providers' fees unless its plan says otherwise.
4.3 The Customer must comply with each Channel Provider's terms and policies, including WhatsApp's business messaging rules and pre-approval requirements for business-initiated messages, and must keep evidence of each contact's agreement to be contacted where the law or a Channel Provider requires it.
5. Account and Users
5.1 The Customer must give accurate registration details, keep them up to date and keep sign-in credentials confidential. The Customer is responsible for everything done under its account by its Users.
5.2 The Customer may add Users up to the limit of its plan. Each User must be an identified individual; shared log-ins are not allowed. The Customer must notify the Provider without delay of any unauthorised use of its account.
6. Listings, licences, advertising and brokerage
6.1 Listings. All property information, prices, availability, images and documents that the Customer uploads, or that Eva gives out based on what the Customer uploaded, are the Customer's responsibility. The Customer must keep them accurate and lawful.
6.2 Licences. The Customer must hold and keep valid every licence that the Real Estate General Authority (REGA) requires for its activity under the Real Estate Brokerage Law (Royal Decree M/130 of 30/11/1443H) and its regulations, including its brokerage licence and the advertising licence for each property it advertises, and must display licence numbers wherever the regulations require. The Platform's licence fields are a convenience and not a compliance check, and the Provider does not verify the Customer's licences.
6.3 No brokerage. The Provider is a software provider. It is not a real-estate broker, holds no brokerage licence, is not a party to any transaction between the Customer and its leads or clients, and earns no brokerage commission.
6.4 Advertising. The Customer is responsible for its advertising campaigns, their content and their compliance with law, REGA rules and the policies of the advertising platforms.
7. Plans, Fees, VAT and payment
7.1 Plans, prices and limits are shown on evacore.io/pricing when the Customer subscribes and are recorded in the Order Form. The plans and prices at the date of these Terms are stated in Schedule 1.
7.2 Metering. Leads are never capped on any plan. Plans may limit the number of AI conversations, Users or other resources as stated on the pricing page. When the Customer reaches a plan limit, the Provider will tell the Customer and the Customer may move to a higher plan or buy additional allowance where offered; reaching a limit is not in itself a ground for suspension.
7.3 Billing. Plans are billed monthly or yearly in advance, in the currency shown at checkout. Payment is made by card through the Provider's payment processor, Stripe. Card details are entered directly with Stripe and are not stored by the Provider. The Provider charges the card for each billing period when it falls due and issues an invoice or receipt for each charge.
7.4 Saudi Customers and VAT. Fees for a Saudi Customer are stated and paid in Saudi riyals, and the price shown at checkout is the total amount charged. Before the Provider enables checkout for a Saudi Customer, it verifies the purchaser's VAT status, the place of supply and the applicable VAT treatment. The reverse-charge mechanism applies only where the VAT Law and its Implementing Regulations make it available. A supply that requires the Provider to register for VAT in the Kingdom, or to collect VAT, is not completed until the Provider has satisfied those obligations; where the Provider is registered, VAT at the applicable rate (currently 15%) is included in the price shown and stated separately on its tax invoice, and the total amount charged for a paid period does not change. The checkout states the total price and the VAT treatment correctly.
7.5 Other Customers. Fees for a Customer that is not a Saudi Customer are stated and paid in the currency shown at checkout and exclude taxes, duties and levies, which the Customer bears to the extent the law places them on the Customer.
7.6 Renewal and cancellation. Subscriptions renew automatically for the same period unless the Customer cancels before the renewal date in its account settings or by e-mail to saad@evacore.io. Cancellation takes effect at the end of the paid period.
7.7 Refunds. Fees already paid are not refundable for partial periods, except where these Terms provide otherwise (clauses 2.5, 3.6, 9.5(c), 15.3 and 16.2) or the law requires a refund. Statutory cancellation and refund rights that cannot be excluded by agreement are not affected.
7.8 Trials. If the Provider gives the Customer a free trial or invitation period, its end date is informational: reaching it does not lock the account. Fees start only after the Customer chooses a paid plan.
7.9 Price changes. The Provider may change plan prices for future periods by giving at least 30 days' notice by e-mail. The change applies from the Customer's next renewal.
7.10 Late payment. No interest is charged on late payment. The Provider's remedy for non-payment is suspension under clause 8.2(a).
8. Suspension
8.1 No automatic suspension. The Platform never suspends or locks an account automatically because of a date, a counter, a failed payment or a usage limit.
8.2 Human decision after notice. Only a human decision taken by the Provider's authorised personnel can suspend an account, and only after written notice by e-mail, in the following cases:
(a) non-payment: an amount has been overdue for more than 30 days and remains unpaid 14 days after the Provider sends written notice; or
(b) abuse: a serious breach of the acceptable use policy in clause 11 that the Customer has not stopped within the reasonable period stated in the notice.
8.3 Emergencies. Where immediate action is needed to stop serious harm, such as spam, fraud, a security attack, or a demand from a Channel Provider, a court or an authority, the Provider may limit access immediately to the extent necessary and will tell the Customer as soon as possible afterwards.
8.4 Suspension never deletes Customer Data. Access is restored as soon as the cause is removed. Fees remain payable during a suspension caused by the Customer.
9. Customer Data and personal data
9.1 Ownership. The Customer owns Customer Data. The Customer gives the Provider the right to host, copy, process and transmit Customer Data only to provide, secure and support the Platform for the Customer.
9.2 No sale, no training. The Provider does not sell Customer Data and does not use it to train AI models. It may use aggregated, anonymised usage statistics that identify neither the Customer nor any person to operate and improve the Platform.
9.3 Roles. For Customer Personal Data, the Customer is the controller and the Provider is its processor. The Provider is an independent controller only of the business-contact, billing and security-log data it needs to run its own business with the Customer, as described in the Privacy Policy.
9.4 The Customer's responsibilities. The Customer is responsible for having a lawful basis under the Data Protection Law, including any consent required, for collecting Customer Personal Data and having it processed through the Platform, and for giving its leads and clients the notices the law requires, including that their conversations may be handled by an automated assistant and that their data is processed outside the Kingdom as described in clause 9.6.
9.5 The Provider's obligations. As processor, the Provider will:
(a) process Customer Personal Data only on the Customer's instructions as expressed through its use and configuration of the Platform;
(b) keep it confidential and apply appropriate technical and organisational security measures;
(c) use only the Sub-processors listed in the Privacy Policy, each under a written contract that requires it to process Customer Personal Data only on instructions, keep it confidential and secure, notify breaches without undue delay, assist with data-subject requests, delete the data when its service ends and disclose the laws of other jurisdictions that apply to it; notify the Customer by e-mail at least 30 days before it engages a new or replacement Sub-processor, signs a contract with it or gives it access to Customer Personal Data; not sign a contract with that Sub-processor for Customer Personal Data, and not allow it to process the Customer's data, before that period has elapsed and any timely reasonable data-protection objection has been resolved, or the affected service has ended and the prepaid Fees for the remaining period have been refunded pro rata;
(d) forward to the Customer any request from a data subject within 3 Business Days and help the Customer answer it within the time the Data Protection Law allows;
(e) notify the Customer of a personal-data breach affecting Customer Personal Data without undue delay and in any event within 48 hours of becoming aware of it, and help the Customer notify SDAIA and data subjects where the law requires;
(f) delete or return Customer Personal Data as stated in clause 9.8; and
(g) make available on request the information reasonably necessary to demonstrate its compliance with this clause 9, including the Security Overview of the Platform and answers to a reasonable security questionnaire once a year.
9.6 Hosting and transfers. The Platform is hosted on Google Cloud in region us-central1 (Iowa, United States of America). AI processing and several channels are performed by providers outside the Kingdom, as listed in the Privacy Policy. The Provider is incorporated in the United States of America and is subject to its laws, including laws that may require it to disclose data to public authorities there; if it receives such a request for Customer Personal Data, it notifies the Customer where the law permits and discloses only the minimum that the law requires. The Customer instructs and authorises these transfers. They are made under article 29 of the Personal Data Protection Law and the Regulation on Personal Data Transfer outside the Kingdom, on the basis of the completed Standard Contractual Clauses issued by SDAIA, identified by module and edition and displayed for retention when the Customer accepts these Terms, which form part of these Terms, prevail over any inconsistent forum or limitation provision for their subject matter, and apply between the Customer as data exporter and the Provider as data importer for Customer Personal Data subject to that Law, with the particulars stated in this clause 9 and in the Privacy Policy; on the safeguards described in the Privacy Policy for each Sub-processor outside the Kingdom; and on the transfer risk assessment described in the Privacy Policy. The Provider gives the Customer the information it needs for any transfer risk assessment that the law requires of the Customer.
9.7 The Privacy Policy at evacore.io/privacy and this clause 9 are the data-processing terms for self-serve plans. The Provider notifies the Customer in writing without undue delay if an instruction appears to it to infringe the Personal Data Protection Law, supports the periodic assessment of its compliance, and binds and supervises its Sub-processors under the safeguards that the Implementing Regulation of that Law requires. Enterprise customers are covered by the Data Processing Agreement (Schedule 2 to their Master Services Agreement).
9.8 Export and deletion. While its account is active, the Customer can use the self-service exports that the Platform documents, which cover its leads in CSV format. A complete export of conversations and attachments is supplied securely on the Customer's written request under the Provider's documented export procedure. After cancellation or termination the Provider keeps Customer Data for 30 days so the Customer can export it and then deletes it from the live systems within 30 further days. Backups expire in their normal rotation, within the periods stated in the Privacy Policy. The Provider may keep data that the law requires it to keep, such as its own billing records, for as long as the law requires.
10. Licence and intellectual property
10.1 Ownership. The Provider owns the Platform, Eva, the software, designs, prompts, model configuration, documentation, and the EvaCore and «إيفا كور» names and logos, and all intellectual property rights in them. No right is granted to the Customer except as stated in these Terms.
10.2 End-user licence. For the Subscription Term, the Provider grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Platform through the interfaces provided, for the Customer's own internal business and in accordance with these Terms. The licence ends when the Subscription Term ends or the Terms are terminated.
10.3 Customer content licence. The Customer grants the Provider a non-exclusive licence for the Subscription Term to use Customer Data as stated in clause 9.1.
10.4 Feedback. If the Customer sends suggestions or feedback, the Provider may use them without obligation to the Customer.
11. Acceptable use policy
11.1 This policy applies to every User and to Eva acting on the Customer's instructions.
11.2 The Customer and its Users must not use the Platform to:
(a) send unsolicited bulk messages (spam), or message people who have not contacted the Customer or agreed to be contacted, contrary to the law, the rules of the Communications, Space and Technology Commission (CST) or the policy of a Channel Provider, including WhatsApp's business messaging rules and pre-approval requirements for business-initiated messages;
(b) advertise or market any property without the REGA brokerage and advertising licences required, or publish false or misleading prices, availability, specifications, photos or licence numbers;
(c) instruct or configure Eva to deceive people, impersonate a real person or authority, conceal its automated nature when asked whether it is an automated assistant, pressure vulnerable people, or make promises about financing, returns or approvals that the Customer cannot keep;
(d) collect, upload or process personal data without a lawful basis, including buying or importing lead lists whose owners did not agree to be contacted;
(e) upload or send content that is unlawful, defamatory, discriminatory, obscene or contrary to public order or public morals in the Kingdom, or that infringes another person's intellectual-property or privacy rights;
(f) commit or facilitate fraud, money laundering or any activity contrary to the laws of the Kingdom or the Customer's own jurisdiction;
(g) probe, scan or test the vulnerability of the Platform, bypass its security or its plan limits, or access another Customer's data;
(h) reverse-engineer, decompile or disassemble the Platform, extract Eva's prompts or configuration, scrape it by automated means, or use it to build a competing product;
(i) resell, sublicense or share the Platform with another business, except under a written partner agreement with the Provider or its authorised reseller;
(j) overload the Platform, including by automated traffic not made through the documented features, or introduce malicious code; or
(k) breach clause 17 (sanctions, export and anti-bribery).
11.3 The Customer must also keep its listings, prices and licences accurate and current; supervise Eva's conversations and correct it when it is wrong; stop contacting any person who asks not to be contacted; and report abuse or security issues to security@in.evacore.io.
11.4 Enforcement. The Provider investigates reports, may ask the Customer to remove content or change Eva's configuration, may suspend under clause 8, and may report unlawful activity to the competent authorities. Suspension is a human decision of the Provider and is never automatic.
12. Confidentiality
12.1 Each party will keep the other's Confidential Information confidential, use it only for these Terms, and disclose it only to those of its personnel, advisers and, in the Provider's case, Sub-processors who need it for that purpose and are bound by equivalent duties, except where the law or an authority requires disclosure.
12.2 This clause does not apply to information that is public other than through breach, was lawfully known to the recipient before disclosure, was lawfully received from a third party, or was independently developed.
13. Warranties and disclaimers
13.1 The Provider will provide the Platform with reasonable skill and care and substantially as described on evacore.io.
13.2 OTHERWISE, AND TO THE EXTENT THE LAW ALLOWS, THE PLATFORM IS PROVIDED "AS IS", AND THE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. IT DOES NOT GUARANTEE ANY NUMBER OF LEADS, SALES OR BOOKINGS, THE ACCURACY OF AI-GENERATED OUTPUT, OR THE UNINTERRUPTED OPERATION OF ANY CHANNEL PROVIDER.
14. Liability
14.1 Unlimited liability. Nothing in these Terms limits or excludes liability for fraud, wilful misconduct or gross negligence, the Customer's obligation to pay Fees, or any liability that cannot be limited or excluded by law.
14.2 Excluded loss. SUBJECT TO CLAUSE 14.1, NEITHER PARTY IS LIABLE TO THE OTHER FOR LOSS OF PROFIT, REVENUE, BUSINESS OR GOODWILL, FOR LOSS OR CORRUPTION OF DATA (WITHOUT PREJUDICE TO THE PROVIDER'S OBLIGATION TO RESTORE CUSTOMER DATA FROM ITS LATEST BACKUP WHERE AVAILABLE), OR FOR INDIRECT OR CONSEQUENTIAL LOSS.
14.3 Cap. SUBJECT TO CLAUSE 14.1, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS IN ANY PERIOD OF 12 MONTHS IS LIMITED TO THE FEES THE CUSTOMER PAID IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
14.4 Customer's responsibility. The Customer will compensate the Provider for third-party claims arising from Customer Data, the Customer's listings and advertising, the Customer's lack of a required licence, or the Customer's breach of clause 11, subject to clause 14.3.
15. Term and termination
15.1 These Terms apply from the Effective Date until the Customer's account is closed.
15.2 The Customer may cancel at any time as stated in clause 7.6.
15.3 The Provider may terminate the Customer's account (a) on 30 days' notice for any reason, in which case it refunds prepaid Fees for the period after termination; or (b) by notice if a suspension under clause 8.2 has not been cured within 30 days of the suspension.
15.4 On termination the Customer's right to use the Platform ends, and clause 9.8 applies to Customer Data.
15.5 Clauses 9.8, 10, 12, 14, 17, 18 and 19 survive termination.
16. Changes to these Terms
16.1 The Provider may update these Terms. It will give paid Customers at least 30 days' notice by e-mail and on the Platform of any material change, which applies from the date stated in the notice. A change that the law requires may take effect sooner to the extent the law requires.
16.2 If the Customer does not agree with a change, it may cancel before the change takes effect and receive a pro-rata refund of prepaid Fees. Continued use of the Platform after that date means the Customer accepts the change.
16.3 These Terms replace the earlier terms of service published at evacore.io/terms: for new Customers from the date of publication, and for existing Customers 30 days after notice under clause 16.1.
17. Sanctions, export and anti-bribery
17.1 The Customer confirms that neither it nor any User is on, or owned or controlled by a person on, a sanctions list of the United States (including the OFAC Specially Designated Nationals list), the United Nations or the Kingdom of Saudi Arabia, or located in a country or region subject to comprehensive United States sanctions, and that it will not give access to the Platform to any such person.
17.2 The Platform is subject to the United States Export Administration Regulations. Before it makes a classification representation or supplies a controlled item, the Provider documents its item-specific classification and satisfies any applicable classification, reporting and licensing requirements. The Customer will not export or re-export the Platform in breach of those regulations.
17.3 Each party will comply with the Saudi Anti-Bribery Law (Royal Decree M/36 of 29/12/1412H) and the United States Foreign Corrupt Practices Act and will not offer, give, request or accept any improper payment or advantage in connection with these Terms.
17.4 The Provider may restrict access to the extent a sanctions or export law requires, and will tell the Customer as soon as the law allows.
18. Governing law and disputes
18.1 Saudi Customers. For a Saudi Customer these Terms are governed by the laws of the Kingdom of Saudi Arabia. The parties will first try to settle any dispute amicably within 30 days of written notice. Failing that, the competent courts of Riyadh have jurisdiction.
18.2 Other Customers. For every other Customer these Terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws rules. The parties will first try to settle any dispute amicably within 30 days of written notice. Failing that, the state and federal courts located in the State of Delaware have exclusive jurisdiction and each party submits to them.
18.3 Nothing in this clause prevents a party from seeking urgent interim or injunctive relief from any competent court to protect its intellectual property or Confidential Information.
19. General
19.1 Language. These Terms are made in Arabic and English. If the two texts differ, the Arabic text prevails for a Saudi Customer and the English text prevails for every other Customer.
19.2 Notices. Notices to the Provider: saad@evacore.io. Privacy requests: privacy@in.evacore.io. Security reports: security@in.evacore.io. Notices to the Customer: the e-mail address of the account owner. A notice is effective when sent.
19.3 Entire agreement. These Terms, the Order Form and the Privacy Policy are the entire agreement on their subject. If they conflict on a matter of personal data, clause 9 prevails over the Privacy Policy.
19.4 Assignment. The Customer may not assign these Terms without the Provider's written consent. The Provider may assign them as stated in clause 2.5.
19.5 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages of Channel Providers, cloud or telecommunications networks, acts of authorities and natural events. This does not excuse payment of Fees.
19.6 Severability and waiver. If a provision is invalid, the rest remains in force. A failure to enforce a right is not a waiver of it.
19.7 Third parties. No person who is not a party may enforce these Terms.
19.8 Electronic records. The electronic records of acceptance, notices and Platform activity kept by the Provider are evidence of their content in accordance with the Electronic Transactions Law, unless the contrary is proved.
